These terms govern your use of Rainier IT's website and services. Plain-English version: we do what we promise, you pay on time, and either of us can exit with 30 days' notice.
By using rainier-it.com or engaging Rainier IT Solutions, LLC for services, you agree to these terms. If you're entering into a managed services agreement on behalf of a business, you represent that you have authority to bind that business to these terms.
Rainier IT provides managed IT, cybersecurity, backup and recovery, cloud infrastructure, web design and hosting, and AI development services. The specific scope of services for your engagement is defined in your signed service agreement or statement of work.
We reserve the right to decline or discontinue any service that we determine is outside our scope, inconsistent with our standards, or likely to create liability.
Managed services are provided on a month-to-month basis. Either party may terminate with 30 days' written notice. Project work is governed by the applicable statement of work. There are no long-term contracts, auto-renewals beyond 30 days, or early termination fees.
Monthly managed services fees are invoiced at the start of each month and due within 15 days. Project work is invoiced per the payment schedule in the statement of work. Late payments accrue interest at 1.5% per month after 30 days. Accounts more than 60 days past due may result in service suspension.
All fees are in USD. We accept ACH, check, and major credit cards via our billing portal.
You may not use rainier-it.com to transmit spam, malware, or unlawful content. Automated scraping, credential stuffing, or abuse of our AI chat endpoint is prohibited and may result in your IP being blocked.
Work product created specifically for you (custom software, web design, documentation) is yours upon full payment. Generic tools, frameworks, and components we develop remain our property. We retain the right to use your project as a portfolio example unless you request otherwise in writing.
Each party agrees to keep the other's confidential information private and not to disclose it to third parties without consent, except as required by law. This obligation survives termination of the service relationship.
To the maximum extent permitted by law, Rainier IT's liability for any claim arising from our services is limited to the fees paid by you in the three months preceding the claim. We are not liable for indirect, incidental, or consequential damages, including lost profits or data loss resulting from events outside our reasonable control.
This limitation does not apply to claims arising from gross negligence or willful misconduct.
Our services are provided "as is" within the scope defined in your service agreement. We do not warrant that our services will be error-free or uninterrupted, though we do commit to our stated response SLAs and will work promptly to resolve issues.
These terms are governed by the laws of the State of Washington. Any disputes will be resolved in the courts of Pierce & King County, Washington, or through binding arbitration if both parties agree.
We may update these terms from time to time. We'll notify existing clients of material changes via email. Continued use of our services after 30 days' notice constitutes acceptance of the updated terms.
